  • Fifth Article: Everyone who is registered in the Commercial Register must file with the Commercial Registry Office, within thirty days from the date of registration, a certificate of participation in the Chamber of Commerce and Industry.
  • Sixth Article: Foreign companies that are licensed to open a branch or office in the Kingdom must submit an application to register this branch or office in the Commercial Registry, within thirty days from the date of its opening, enclosing the documents specified by the executive regulations.
  • Seventh Article: The merchant, his heir or the liquidator, as the case may be, must submit a request to the Commercial Registry Office to cancel the registration in the following cases:

    • The merchant left his trade permanently.
    • The death of the merchant.
    • End of company liquidation. The request must be submitted within ninety days from the date of the incident that requires the cancellation of the registration. If the concerned parties do not submit the request for cancellation, the Commercial Registry Office after verifying the incident and after notifying the concerned persons by a registered letter of cancellation of its own accord after thirty days from the date of the notification, unless it receives The office of the person concerned during this period denies this incident. In the event that a final judgment or decision is issued to cancel the registry in application of the applicable regulations, the competent commercial registry office shall write off as soon as it is notified of the judgment or decision.
  • Eighth Article: The Commercial Registry Office must verify the existence of the necessary conditions for registration, marking or striking off, and it may instruct the applicant to submit documents supporting the validity of the data contained in his application. The registry office may reject the application by a reasoned decision within thirty days from the date of its submission.
  • Article Nine: Everyone who is registered in the Commercial Register must mention in all his correspondence, publications, seals and plates, in addition to his name, his registration number in the Commercial Register, and the name of the city in which he is registered, provided that all data are written in Arabic.
  • Article 10: The judicial authorities that issue the following rulings and orders must notify the competent commercial registry office within thirty days from the date on which they are considered final, and the competent commercial registry office must mark the aforementioned rulings and orders as soon as it is notified of them:

    • Provisions for declaring bankruptcy or canceling it.
    • Rehabilitation provisions.
    • Judgments issued against the merchant or the seizure of his money, or the lifting of both.
    • The order issued to withdraw the permission to trade or to restrict it to the minor or the interdicted.
    • Provisions for dismissal of partners or dismissal of managers.
    • Provisions of dissolving or nullifying the company, and appointing or dismissing liquidators.
    • Judgments issued to ratify, rescind or annul the judicial composition.
    • The order issued to open the procedures for the preventive composition of bankruptcy and the judgments issued for its approval, dissolution or annulment.
    • Judgments of conviction in cases of forgery, counterfeiting and bribery.
  • Article eleven: Any person may obtain a copy extracted from the commercial register for any merchant or company, and in the absence of a registration, the person shall be given a certificate to that effect. The extracted copy may not include the provisions for declaring bankruptcy if a judgment of rehabilitation is issued, nor the provisions of interdiction or seizure if filed.
  • Article Twelve: Violations of the provisions of this system and the decisions issued for its implementation shall be monitored by officials named by a decision of the Minister of Commerce.   • Article seventeen: A decision of the Council of Ministers determines the fees due for applications for registration and annotation to amend the previously registered data, extract data from the register, or obtain a certificate that there is no registration.
  • Article eighteen: Concerned persons may object before the Minister of Commerce to the decisions of the Commercial Registry Office and to the decisions of the committee concerned with imposing penalties, within thirty days from the date of informing them of the decision. The refusal of the Commercial Registry Office or its refusal to take a decision that it should have taken in accordance with the rules and regulations shall be considered in the judgment of the decision.
